Terms of Service

These Terms of Service ("Terms") govern your use of the Traced application and related services ("Service"). By using Traced, you agree to these Terms. Please read them carefully.

1. Description of Service

Traced is a personal finance application that:

• Connects to your email accounts (via Nylas OAuth) to scan for receipts and invoices.
• Connects to your bank accounts and payment cards (via Plaid) to retrieve transaction data.
• Sends automated SMS text messages to your mobile phone to prompt you to categorize new transactions.
• Allows you to categorize transactions as Work or Personal and assign spending categories.

2. Eligibility

You must be at least 18 years of age to use Traced. By using the Service, you represent that you are 18 or older and have the legal authority to agree to these Terms.

3. Account Connections and Third-Party Services

Traced connects to your accounts using OAuth and secure API connections provided by Nylas (email), Plaid (banking), and Twilio (SMS). By connecting an account, you authorize Traced to access data from that account on your behalf, subject to the permissions you grant at the time of connection.

You acknowledge that Traced depends on these third-party services and that their availability, accuracy, and terms are outside our control. Traced is not responsible for any actions, outages, or policy changes by Nylas, Plaid, Twilio, or any financial institution.

4. SMS Messaging Terms

By providing your mobile phone number and linking a bank account, you expressly consent to receive automated SMS text messages from Traced. These messages are transactional alerts related to your financial activity.

• Opt-out: You may stop receiving messages at any time by replying STOP to any Traced message. You will receive a final confirmation message and no further SMS will be sent.
• Help: Reply HELP to any message for assistance, or contact us at support@tracedfinance.com.
• Message frequency: Frequency varies based on your transaction activity — typically one message per new bank or card transaction.
• Rates: Standard message and data rates may apply based on your mobile carrier plan. Traced does not charge for SMS messages separately.
• Carriers: SMS service is available on major US carriers. Carrier is not liable for delayed or undelivered messages.
• No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

5. Your Data and Privacy

You retain full ownership of your financial data. Traced processes your data to provide the Service as described in our Privacy Policy. We do not sell your data. You may disconnect accounts or request deletion of your data at any time.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, copy, or redistribute any part of the Service.
• Use the Service to track accounts or financial data belonging to any person other than yourself without their explicit consent.
• Interfere with or disrupt the integrity or performance of the Service or third-party data connections.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Traced does not warrant that the Service will be uninterrupted, error-free, or that transaction or receipt data will be complete, accurate, or current. Financial data is retrieved from third-party sources and may not reflect your most recent account activity.

Traced is not a financial advisor. Nothing in the Service constitutes financial, tax, legal, or investment advice. Consult a qualified professional for advice specific to your situation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Traced and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to use the Service in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Traced and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

You may stop using the Service at any time. You can disconnect all accounts from within the app, which will remove stored credentials. We reserve the right to suspend or terminate access to the Service for violations of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes will be communicated through the app. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in California.
